Intellectual property
The Palimpseste software is proprietary software published by NMA Conseil; its use is governed by these terms and by the license attached to each plan. Files produced by the application use exclusively open formats (Markdown, YAML, JSON) and remain the user's full property. The content of this website (texts, images, design) is protected by copyright.
Terms of Sale
Article 1 — Purpose
These terms govern the subscription to the Palimpseste Pro service
(the editor). They do not govern
Palimpseste Pseudo, a sister app sold separately
(PSEUDO-… keys): see article 10.
Any subscription implies unreserved acceptance of these terms.
Article 2 — Product and tiers
The Palimpseste Pro subscription is a non-exclusive, non-transferable license granted to a single user (except for the Lab tier, sold in packs of 5 seats). Several recurring tiers are available: Monthly, Yearly, Student (on academic email verification), and Lab. See the Pricing page for details.
Article 3 — Price
Prices are listed VAT-inclusive on the Pricing page and include the VAT applicable to your country. VAT is handled automatically by Stripe Tax and appears on the invoice issued at each billing cycle. All prices are in euros (EUR).
Article 4 — Payment and renewal
Payment is made online via the Stripe secure platform. Accepted payment methods are credit/debit cards (Visa, Mastercard, American Express) and selected local payment methods. The seller never has access to the buyer's banking information. The subscription renews automatically at each cycle until cancelled.
Article 5 — Delivery and access
The license key is sent by email immediately after the first payment is confirmed. The software can be downloaded for free from this website. Activation happens in the application settings. The license remains valid as long as the subscription is active.
Article 6 — Cancellation and waiver of the right of withdrawal
The subscription may be cancelled at any time via the Stripe customer portal tied to the subscription email. Cancellation takes effect at the end of the current period; no refund, total or prorated, is issued.
In accordance with Article L221-28-13° of the French Consumer Code, the Palimpseste Pro service is a digital content delivered on an intangible medium and executed immediately after subscription. The consumer expressly acknowledges, at the time of payment (dedicated and non-pre-checked checkbox on the Stripe Checkout form), having consented to this immediate execution and having waived their 14-day right of withdrawal.
In exchange for this waiver, a free version of the software, with no time limit and no credit card required, lets the consumer evaluate the service before any financial commitment. This prior-evaluation mechanism is intended to ensure informed consent of the consumer at the time of paid subscription.
Article 6 bis — Good faith clause
Any subscriber totalling 48 months (4 years) or more of consecutive or cumulative payments retains, upon cancellation, a perpetual license of the installed software version. Subsequent updates are only available via a new subscription.
Article 6 ter — Service continuity clause
Palimpseste is published by an independent developer (NMA Conseil). In
case of long-term shutdown of the license validation service
(nmaconseil.fr or palimpseste.ai servers
down for more than 6 consecutive months), the publisher commits to:
- Open-source the license validation server code (MIT) on the public GitHub repo, allowing any technical subscriber to re-deploy it.
- Automatically activate, via a final pushed update, a perpetual license for all current subscribers, regardless of the 48-month threshold set in Article 6 bis.
- Notify active subscribers by email before final shutdown with a minimum 60-day notice.
Your project files (Markdown manuscripts, JSON metadata, CSL bibliographies) remain accessible locally on your machine in all cases — Palimpseste does not store any user data server-side. A license validation service shutdown does not affect access to your existing files.
Article 7 — Warranty and limitation of liability
The software is provided "as is", without warranty of any kind, express or implied, to the extent permitted by law — without prejudice to statutory consumer warranties.
NMA Conseil disclaims all liability for data loss, service interruption, or any other direct or indirect damage related to the use of the software. The publisher endeavors to fix reported bugs as promptly as possible, but cannot guarantee the absence of defects.
Article 7 bis — User responsibility: data backup
Palimpseste is a local-first software: project files (Markdown texts,
YAML metadata, JSON structured data, snapshots, .bak files)
are stored exclusively on the user's hardware. NMA Conseil has no
access to these files, does not back them up, and cannot restore them
in case of loss.
Regular backup of these files is the user's sole responsibility. NMA Conseil disclaims all liability for data loss resulting from hardware failure, user error, third-party software incident (operating system, sync service, Git repository) or force majeure.
Automatic snapshots generated by Palimpseste (.bak files
created before every destructive operation, named snapshots managed
from the interface) provide protection against accidental overwrites
during editing. They are in no case a substitute for a regular
external backup (Time Machine, Windows File History, cloud sync
service, remote Git repository, external disk).
Article 8 — Disputes and consumer mediation
In case of dispute, the user is invited to first contact NMA Conseil at contact@nma-conseil.fr to seek an amicable solution.
Consumer mediator — Pursuant to French Consumer Code Article L612-1, after an unsuccessful attempt at amicable resolution, consumers may freely refer the matter to the following mediation service:
CM2C
49 rue de Ponthieu, 75008 Paris, France — Tel. +33 1 89 47 00 14
Online referral: cm2c.net/declarer-un-litige.php — Email: litiges@cm2c.net
The EU Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025; for a cross-border dispute, see the European Commission's
Consumer Redress in the EU portal.
Failing amicable resolution or mediation, French courts shall have jurisdiction. French law applies.
Article 9 — Purchasing packs (palimpacks)
The user may buy individual methodology packs (digital
.palimpack files) from the catalogue. Each purchase is
one-off (single payment, no subscription) and reserved to holders
of a registered, valid Palimpseste licence; the free or
unregistered version cannot purchase.
Price, payment and delivery — Prices are shown inclusive of VAT (handled by Stripe Tax), in euros, and paid online via Stripe, which issues an invoice. A pack is digital content made available immediately after payment, downloadable in the app. The purchase is permanent: the pack remains downloadable via your licence, including after a subscription ends.
Waiver of the right of withdrawal — As a pack is digital content supplied immediately, by ticking the dedicated checkbox at payment the user expressly consents to its immediate performance and waives the 14-day right of withdrawal (French Consumer Code, Article L221-28-13°). This consent is confirmed by the receipt email. Consequently, no refund is due once the pack has been made available, subject to the legal guarantee below.
Legal guarantee of conformity — This waiver removes none of the user's statutory rights: the legal guarantee of conformity for digital content applies (French Consumer Code, Articles L224-25-1 et seq.). If a pack is defective or non-conforming, write to contact@nma-conseil.fr; it will be fixed, replaced or refunded.
Usage licence — The purchase grants a non-exclusive, professional or personal right of use for a single user. Reselling, redistributing or sharing the pack with third parties is not permitted. For everything else (governing law, consumer mediator, data protection) the general provisions of these Terms apply.
Article 10 — Palimpseste Pseudo
Palimpseste Pseudo is a sister app, sold separately.
A PSEUDO-… key does not unlock the editor; a PAL-…
key does not unlock Pseudo. Articles 1 to 9 above cover the editor and packs,
except the mediator and governing law, which apply to all sales.
Tiers and prices — Two recurring subscriptions, listed VAT-inclusive on the Pseudo page: yearly (€39.99) and monthly (€4.99). No student or lab tier. Payment via Stripe; VAT handled automatically. Renewal until cancelled.
Delivery — The key is emailed after the first payment. Installers (macOS, Windows, Linux) are downloadable from the same page. Activation is in the Pseudo app Settings. When the subscription expires, already-made tables and identity restore remain; only new processing closes.
Cancellation — From My account (Pseudo). Takes effect at the end of the current period; no refund, total or prorated. No free trial. No perpetual license after 48 months (that clause is for the editor only).
Under Article L221-28-13° of the French Consumer Code, Pseudo is digital content performed immediately. Via the dedicated, non-pre-checked Stripe Checkout checkbox, the consumer consents to that performance and waives the 14-day right of withdrawal. Product risk note: palimpseste.ai/pseudo#risque. Sale data: privacy — Pseudo.
